End User License Agreement

This End User License Agreement ("Agreement") governs your use of Nexar Field Brain (the "App"), provided by Nexar Solutions ("Nexar," "we," "us"). By connecting an account, such as QuickBooks Online or Google Calendar, or otherwise using the App, you agree to the terms below.
1. License
Nexar grants you a limited, non-exclusive, non-transferable license to use the App for your own business operations, for as long as you have an active services relationship with Nexar. This Agreement covers your use of the App itself; the commercial terms of that relationship, including fees, are set out separately in your services agreement with Nexar.
2. What the App does
The App connects to third-party services you authorize and carries out specific actions on your behalf, such as creating invoices or estimates in QuickBooks Online or creating and updating events in Google Calendar, based on workflows configured for your business. The App acts only within the scope of the connections and workflows you have approved.
3. Your accounts and authorization
You are responsible for the third-party accounts you connect to the App. Connections are established through each provider's own authorization process; you may revoke access at any time through that provider or through the App. You represent that you have the authority to connect any account you authorize.
4. Ownership
Nexar retains all rights, title, and interest in the App, including its underlying software, design, and methodology. Your business data, including the records stored in your own QuickBooks Online, Google Calendar, or other connected accounts, remains yours. Nothing in this Agreement transfers ownership of the App's code or systems to you.
5. Acceptable use
You agree not to reverse engineer, resell, sublicense, or use the App to violate any law or the terms of any connected third-party service. The App is provided for use by the business it was configured for.
6. Availability and changes
Nexar may update, modify, or temporarily suspend the App to maintain, improve, or secure it. We will make reasonable efforts to avoid disrupting your use of connected services during any such change.
7. Disclaimer and limitation of liability
The App is provided "as is." Nexar is not liable for actions taken by third-party services (such as QuickBooks Online or Google) that are outside our control, including changes to their platforms or interruptions in their availability. To the extent permitted by law, Nexar's liability arising from use of the App is limited as set out in your services agreement with Nexar.
8. Termination
This Agreement ends automatically if your services relationship with Nexar ends. Upon termination, Nexar will revoke stored authorization tokens for your connected accounts. You may request an export of your data as described in our Privacy Policy.
9. Governing terms
Where this Agreement and your separate services agreement with Nexar address the same subject, the services agreement governs. For how we handle your information, see our Privacy Policy.
